The process
How it works, from first conversation to completion.
Every transaction is different, but most move through five phases. You stay in control throughout, and you can pause at any point.
- Phase 1
Confidential introduction
A private call or a meeting at your premises. We talk about your business, what you want for yourself and your team, and whether there is a fit. Nothing is shared with anyone else, and there is no obligation.
What you need: nothing more than a conversation.
- Phase 2
NDA and initial review
We sign a confidentiality agreement before you share headline information about the business.
What you need: the last three years of accounts, current-year management figures, a view of your client mix, and an outline of your team.
- Phase 3
Indicative offer
We set out our valuation, the proposed deal structure and how we see the handover working, in writing. We explain how we reached the figure. Our guides on how event production companies are valued and deferred consideration explain the terms you will see.
What you need: time to consider it, and to take advice.
- Phase 4
Due diligence
A focused review of finances, contracts, equipment, people and compliance, coordinated with your accountant and solicitor to keep the demands on your time light.
What you need: supporting documents such as client contracts, your asset register, inspection records, employment contracts and leases.
- Phase 5
Completion and handover
Legal agreements are signed and the transaction completes. You then stay involved for a short, agreed handover period to introduce clients, support the team and pass on what you know. We agree its length and your role at the outset.
What you need: your solicitor, and a plan for telling your team, which we agree together. See what happens to your staff when you sell.
How long it takes
The timescale depends mostly on how well prepared the business is and how quickly information can be gathered. A well-organised business with clean accounts moves much faster through due diligence. We will give you a realistic timetable once we understand your business.
Confidentiality throughout
Your staff, clients and competitors will not hear about our conversations from us. Many owners involve their senior team only once terms are agreed.
Confidential enquiry
Thinking about what comes next for your business?
An early, confidential conversation gives you more options. Every enquiry is answered personally by the founder within one working day.
